{"id":36863,"date":"2025-01-06T13:11:00","date_gmt":"2025-01-06T19:11:00","guid":{"rendered":"https:\/\/ustower.net\/?p=36863"},"modified":"2025-01-06T19:59:17","modified_gmt":"2025-01-07T01:59:17","slug":"nippon-us-steel-file-suit-against-biden-administration-union-and-rival-after-15b-deal-scuttled","status":"publish","type":"post","link":"https:\/\/ustower.net\/?p=36863","title":{"rendered":"Nippon, US Steel file suit against Biden administration, union, and rival after $15B deal scuttled"},"content":{"rendered":"\n<p class=\"has-medium-font-size\">WASHINGTON (AP) \u2014 Nippon Steel and U.S. Steel filed a federal lawsuit Monday challenging a Biden administration&nbsp;<a href=\"https:\/\/apnews.com\/article\/nippon-steel-japan-cfius-economy-biden-099564a3cddca587af0d7340e0c15ed6\"><u>decision to block<\/u><\/a>&nbsp;Nippon\u2019s proposed $15 billion acquisition of the Pittsburgh company and said that the head of the Steelworkers union and a rival steelmaker worked together to scuttle the buyout.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">In moving to block the transaction Friday, Biden said U.S. companies producing a large amount of steel need to \u201ckeep leading the fight on behalf of America\u2019s national interests,\u201d though Japan, where Nippon is based, is a strong ally.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">In separate lawsuits filed Monday in the U.S. Court of Appeals for the District of Columbia and the U.S. District Court for the Western District of Pennsylvania, the steelmakers allege that it was a political decision made by the Biden administration that had no rational legal basis.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">\u201cNippon Steel and U. S. Steel have engaged in good faith with all parties to underscore how the Transaction will enhance, not threaten, United States national security,\u201d the companies said in a prepared statement Monday.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Nippon Steel had&nbsp;<a href=\"https:\/\/apnews.com\/article\/steel-trump-acquisition-nippon-steelworkers-2149ffe7ff8158bc557ab8063941fbab\"><u>promised to invest $2.7 billion<\/u><\/a>&nbsp;in U.S. Steel\u2019s aging blast furnace operations in Gary, Indiana, and Pennsylvania\u2019s Mon Valley, and had said it is best positioned to help the U.S. compete in an industry dominated by the Chinese.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">U.S. Steel has warned that, without Nippon Steel\u2019s cash, it will shift production away from the blast furnaces to cheaper non-union electric arc furnaces and move its headquarters out of Pittsburgh.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Biden on Friday halted the takeover after federal regulators deadlocked on whether to approve it \u2014 because \u201ca strong domestically owned and operated steel industry represents an essential national security priority. &#8230; Without domestic steel production and domestic steel workers, our nation is less strong and less secure,\u201d he said in a statement.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">While administration officials have said the decision was unrelated to Japan\u2019s relationship with the U.S. \u2014 this is the first time a U.S. president has blocked a merger between a U.S. and Japanese firm.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Biden departs the White House in two weeks.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">The president\u2019s decision arrived after the Committee on Foreign Investment in the United States, known as CFIUS,&nbsp;<a href=\"https:\/\/apnews.com\/article\/us-steel-japan-nippon-cfius-national-security-2b155b68713ce83e1cc789ec8aaf3ca7\"><u>failed to reach consensus<\/u><\/a>&nbsp;on possible national security risks last month.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Robyn Patterson, a White House spokesperson said in a statement defending the President\u2019s decision that \u201ca committee of national security and trade experts determined this acquisition would create risk for American national security.\u201d<\/p>\n\n\n\n<p class=\"has-medium-font-size\">\u201cPresident Biden will never hesitate to protect the security of this nation, its infrastructure, and the resilience of its supply chains,\u201d Patterson said.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">In a separate lawsuit filed in the District Court for the Western District of Pennsylvania, the companies accused steel-making rival Cleveland-Cliffs Inc. and its CEO, Lourenco Goncalves, in coordination with David McCall, the head of the U.S. Steelworkers union, of \u201cengaging in a coordinated series of anticompetitive and racketeering activities\u201d to block the deal.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">In 2023, before U.S. Steel accepted the buyout offer from Nippon, Cleveland-Cliffs offered to buy U.S. Steel for $7 billion.&nbsp;<a href=\"https:\/\/apnews.com\/article\/us-steel-pittsburgh-cleveland-03b75f6025b336f7826980085dc2f796\"><u>U.S. Steel turned down the offer<\/u><\/a>&nbsp;and later accepted an all-cash offer from Nippon Steel, which Biden nixed Friday.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">The companies allege that Goncalves, in collusion with McCall, maneuvered to prevent any party other than Cleveland-Cliffs from acquiring U.S. Steel and to damage the Pittsburgh manufacturer\u2019s ability to compete. McCall on Monday called the allegations baseless.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">\u201cBy blocking Nippon Steel\u2019s attempt to acquire U.S. Steel, the Biden administration protected vital U.S. interests, safeguarded our national security and helped preserve a domestic steel industry that underpins our country\u2019s critical supply chains,\u201d McCall said in a prepared statement.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">McCall had long questioned Nippon Steel\u2019s status as an honest broker for U.S. national trade interests and called Nippon Steel a \u201cserial trade cheater\u201d that had, for decades, undermined the domestic steel industry by dumping its products into U.S. markets.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Cleveland-Cliffs, based in Ohio, did not immediately return a request by The Associated Press for comment.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Nippon and U.S. Steel allege in the suit that CFIUS was instructed not to offer any counterproposals or hold discussions with them. The companies argued that the review process was manipulated so that the outcome would support a decision Biden had already made, saying he used \u201cundue influence to advance his political agenda.\u201d<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Nippon, however, will face an incoming administration that has also vowed to block the acquisition.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">President-elect&nbsp;<a href=\"https:\/\/apnews.com\/hub\/donald-trump\"><u>Donald Trump<\/u><\/a>&nbsp;last month&nbsp;<a href=\"https:\/\/apnews.com\/article\/us-steel-nippon-trump-biden-steelworkers-1b0fb38077ff0a6b68e64a184f270bac\"><u>underscored his intention to block<\/u><\/a>&nbsp;the deal, and pledged to use tax incentives and tariffs to strengthen the iconic American steelmaker.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">Shortly after the lawsuits were filed, Trump cemented that stance on his Truth Social platform.<\/p>\n\n\n\n<p class=\"has-medium-font-size\">\u201cWhy would they want to sell U.S. Steel now when Tariffs will make it a much more profitable and valuable company?\u201d the post said. \u201cWouldn\u2019t it be nice to have U.S. Steel, once the greatest company in the World, lead the charge toward greatness again?
