{"id":35872,"date":"2024-12-13T02:09:44","date_gmt":"2024-12-13T08:09:44","guid":{"rendered":"https:\/\/ustower.net\/?p=35872"},"modified":"2024-12-13T02:10:00","modified_gmt":"2024-12-13T08:10:00","slug":"kroger-and-albertsons-are-spending-billions-to-reward-shareholders-after-their-blocked-merger","status":"publish","type":"post","link":"https:\/\/ustower.net\/?p=35872","title":{"rendered":"Kroger and Albertsons are spending billions to reward shareholders after their blocked merger"},"content":{"rendered":"\n<p class=\"has-medium-font-size wp-block-paragraph\">Within a day of their $25 billion merger\u2019s&nbsp;<a href=\"https:\/\/www.nbcnews.com\/business\/business-news\/judge-blocks-albertsons-kroger-25-billion-supermarket-merger-rcna183677\">falling apart in court<\/a>, Kroger and Albertsons were each planning to move forward with share repurchases to boost their stock prices and reward investors.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">America\u2019s two largest grocery store operators had argued that they\u2019d be better able to lower prices for shoppers by joining forces. Doing so, they said, would boost their negotiating power with suppliers and make it easier to take on much bigger retailers that compete with them in grocery sales, such as Walmart, Costco and Amazon.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The Biden administration disagreed, with the Federal Trade Commission&nbsp;<a href=\"https:\/\/www.ftc.gov\/news-events\/news\/press-releases\/2024\/12\/statement-ftc-victory-securing-halt-kroger-albertsons-grocery-merger\">saying in a lawsuit<\/a>&nbsp;countering the merger that the deal threatened to drive down workers\u2019 wages and bargaining power and reduce industry competition, potentially pushing food prices higher.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">With the deal now dead, it\u2019s impossible to know whether any of that would have happened. But U.S. District Judge Adrienne Nelson of Oregon sounded a note of skepticism, writing in her decision Tuesday that the chains\u2019 promises to invest in lower prices were \u201cneither merger-specific nor verifiable, so there is no guarantee\u201d that shoppers would benefit.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">\u201cThe promise to make a price investment is not legally binding, and the Court must give limited weight to a non-binding promise made during these proceedings,\u201d she said. A Superior Court judge in Seattle agreed with Nelson\u2019s ruling and issued an injunction against the merger Tuesday. On Wednesday, Albertsons terminated the deal and&nbsp;<a href=\"https:\/\/www.cnbc.com\/2024\/12\/11\/albertsons-sues-kroger-after-judge-rules-against-grocery-merger.html\">sued Kroger<\/a>, alleging its erstwhile partner didn\u2019t do enough to secure regulators\u2019 blessing.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The drama unfolded just as the federal government released new inflation data for November showing grocery prices continue to inch higher.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The costs of food eaten at home were&nbsp;<a href=\"https:\/\/www.bls.gov\/news.release\/cpi.nr0.htm\">1.6% higher last month<\/a>&nbsp;than they were the same time last year \u2014 a smaller uptick than the 2.7% annual inflation rate overall but accelerating 0.5% from the previous month after a 0.1% rise from September to October. Food prices tend to be volatile, but a broad range of items from produce to poultry notched increases in&nbsp;<a href=\"https:\/\/www.cnbc.com\/2024\/12\/12\/producer-price-index-november-2024-.html\">a wholesale inflation report<\/a>&nbsp;that came in hotter than expected Thursday.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Kroger on Wednesday&nbsp;<a href=\"https:\/\/www.prnewswire.com\/news-releases\/kroger-reiterates-its-commitment-to-lower-prices-and-initiates-new-7-5b-share-buyback-program-302329493.html\">reiterated its \u201ccommitment to lower prices,\u201d<\/a>&nbsp;saying it has invested billions in cost reductions over the past two decades. The chain also said it has spent $2.4 billion on pay hikes since 2018 and up to $3.8 billion in annual store improvements. Albertsons&nbsp;<a href=\"https:\/\/www.businesswire.com\/news\/home\/20241211817240\/en\/Albertsons-Terminates-Merger-Agreement\">similarly promised<\/a>&nbsp;to stay focused on \u201cimproving our value proposition with customers.\u201d<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Neither company offered more details about their price-cutting plans, and Albertsons declined to comment further. Kroger said only that it provides value to customers \u201cthrough competitive pricing, loyalty discounts, personalized offers, fuel rewards and a unique private label portfolio.\u201d<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">At the same time, both grocery chains said this week that they\u2019d be pouring billions of dollars into moves that will benefit their shareholders.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Kroger said it would repurchase $7.5 billion of its shares after a more than two-year pause, with $5 billion of that to be repurchased in an accelerated fashion \u2014 the same sum that Kroger estimated Wednesday it has spent to lowering prices over the past 21 years. Albertsons said it would repurchase $2 billion of its shares and increase the dividend it pays to owners of its stock by 25%.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Stock repurchases \u2014 which reduce the number of shares available, driving up the value of those that remain \u2014&nbsp;and dividend payments benefit all investors but especially those with the biggest stakes. Top shareholders typically include large Wall Street firms with the financial firepower to buy and hold millions of shares of publicly traded companies.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The Vanguard Group, the country\u2019s largest mutual fund provider, and BlackRock, the world\u2019s largest asset manager, with over $11.5 trillion under its supervision, have the largest stakes in Albertsons. Wall Street investment firm Cerberus Capital Management, Vanguard, BlackRock and billionaire investor Warren Buffett\u2019s Berkshire Hathaway conglomerate are the top owners of Kroger shares.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">\u201cWith both of these companies, there was a lot of hope [put] into the merger \u2014 that it was a way of generating growth. Those things aren\u2019t happening now,\u201d said Neil Saunders, managing director of the retail consultancy GlobalData. Repurchasing shares could help inject more \u201coptimistic sentiment\u201d among investors, effectively reassuring them \u201c\u2018we\u2019ll generate good returns for you,\u2019\u201d he said.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Kroger\u2019s stock has been trading roughly 3% higher since Wednesday, while Albertsons\u2019 had clawed back roughly all its losses following the ruling by late Thursday.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">In the meantime, consumer groups and labor advocates are hailing the blocked merger as a victory for shoppers and workers and as a vindication of the Biden administration\u2019s antitrust efforts during its final weeks in office.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The judges in the case \u201ccorrectly saw the merger as a huge threat to the jobs and benefits of thousands of their members working for those chains and the communities in which they live,\u201d said Seth Harris, a law and policy professor at Northeastern University and a former top labor adviser in the Biden White House.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Thomas Gremillion, director of food policy at the Consumer Federation of America, said, \u201cCombining two of the four largest food retailers would have also reduced consumer choice, leading to fewer alternatives to low-quality, ultra-processed foods.\u201d<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">\u201cUnfortunately, the Trump administration seems unlikely to build on this important step towards restoring competition in food retail,\u201d Gremillion said, citing&nbsp;<a href=\"https:\/\/www.cnbc.com\/2024\/12\/10\/trump-names-andrew-ferguson-as-head-of-federal-trade-commission-to-replace-lina-khan.html\">President-elect Donald Trump\u2019s selection of Andrew Ferguson<\/a>&nbsp;to replace Lina Khan atop the FTC. That\u2019s a sign that \u201cBig Food will only be getting bigger over the next four years,\u201d he predicted.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">In a September&nbsp;<a href=\"https:\/\/www.youtube.com\/watch?v=urcLS8eEvUE\">campaign stop at a grocery store in Kittanning, Pennsylvania,<\/a>&nbsp;Trump slammed the Biden-Harris administration over the costs of everything from eggs and cereal to ground beef. \u201cBacon is through the roof,\u201d he said.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\"><a href=\"https:\/\/www.cnbc.com\/2024\/12\/12\/trump-rings-bell-at-nyse-to-cheers-of-usa-as-wall-street-ceos-business-leaders-look-on.html\">Trump said Thursday<\/a>&nbsp;at the New York Stock Exchange that increasing oil and natural gas drilling would help lower inflation, including for food prices, a promise energy analysts have&nbsp;<a href=\"https:\/\/www.nbcnews.com\/politics\/2024-election\/trump-cut-energy-costs-oil-prices-rcna169004\">viewed skeptically<\/a>. But in a&nbsp;<a href=\"https:\/\/time.com\/7200212\/person-of-the-year-2024-donald-trump\/\">Time magazine profile<\/a>&nbsp;published Thursday, he said of groceries: \u201cIt\u2019s hard to bring things down once they\u2019re up.
